You're in the clear if you receive a legit copy of the older version
and a legit copy of the upgrade - you own the software and the
license.

It's not necessarily a scam (I know people who've done it), but I'd
check feedback very closely, and look into the possibility of just
purchasing a copy of Adobe CS off of Ebay and buying the CS2 upgrade
separately (newegg.com has the Photoshop upgrade for ~$170).
