the difference is that the III's 90 degree prism when mounted has much 
more clearance over the top of the camera.  The II's prism drops down in 
the back as can vaguely be seen:

whereas the III's prism is flat at the bottom (look at the 3rd picture):

Hence, the II's 90 degree sits virtually flush against the top of the 
slimmer "classic" profiles (M2, M3, M4, M6 classic, MP) .  The II's 
prism won't fit the taller  M6TTL, M7, M8, or M9.  You need the Viso III 
to get that headroom.

Also, the II has a nice round adjustable eyepeice, the III has a crumby 
"modern" rectangular eyepeice that can take add-on diopters.

You win some, you lose some.
